Dividends from Subsidiaries
SoftBank Group Corp. (“SBG”) announced today that four of its wholly owned subsidiaries, Delaware Project 4 L.L.C., Delaware Project 6 L.L.C., Delaware Project 9 L.L.C., and Project 1 (Cayman) Limited, each determined their dividends of surplus, which are expected to cause the following impact to SBG’s non-consolidated financial results.
These dividends will have no impact on SBG’s consolidated financial results, as dividends from subsidiaries are eliminated as intercompany transactions.
I. Outline of dividends by subsidiaries
1. Delaware Project 4 L.L.C.
(1) Total dividend amount: USD 603 million
(2) Determination date: September 25, 2025 (local time)
(3) Payable date: September 25, 2025
(4) Dividend resource: Retained earnings
2. Delaware Project 6 L.L.C.
(1) Total dividend amount: USD 50 million and EUR 1,198 million
(2) Determination date: September 25, 2025 (local time)
(3) Payable date: September 25, 2025
(4) Dividend resource: Retained earnings
3. Delaware Project 9 L.L.C.
(1) Total dividend amount: USD 6,305 million
(2) Determination date: September 25, 2025 (local time)
(3) Payable date: September 25, 2025
(4) Dividend resource: Retained earnings
4. Project 1 (Cayman) Limited
(1) Total dividend amount: EUR 426 million
(2) Determination date: September 25, 2025 (local time)
(3) Payable date: September 25, 2025
(4) Dividend resource: Retained earnings
II. Impact on SBG’s financial results
As the dividends become payable, SBG expects to record dividends from subsidiaries and associates of JPY 1,318,856 million* as operating revenue on its non-consolidated financial statements for the fiscal year ending March 2026. These dividends will have no impact on SBG’s consolidated financial results, as dividends from subsidiaries are eliminated as intercompany transactions.
