Acquisition-related Cost for Acquisition of ARM
SoftBank Group Corp. (“SBG”) announces the following estimated acquisition-related cost for the acquisition of ARM Holdings plc (“ARM”), which was completed on September 5, 2016 (GMT) as announced in “Completion of Acquisition of ARM by SoftBank” dated September 5, 2016.
1. Estimated acquisition-related cost
JPY 23.4 billion
(fees and expenses for UK stamp duty and financial and legal advices)
2. Impact on SBG's financial statements
SBG recorded acquisition-related cost of JPY 23,382 million as other operating loss in its consolidated financial statements for the six-month period ended September 30, 2016. In non-consolidated financial statements, the acquisition-related cost is included in consideration transferred for the acquisition of ARM shares.
