Execution of Follow-on Investment (Third Tranche) in OpenAI

SoftBank Group Corp. (“SBG”) today announced that, on October 1, 2026 (Japan time), it executed the third and final tranche of the follow-on investment (the “Third Tranche Investment”) in OpenAI Group PBC (“OpenAI”) via SoftBank Vision Fund 2, in the amount of USD 10.0 billion (JPY 1,579.6 billion*1) announced in “Follow-on Investments in OpenAI” dated February 27, 2026. Following the Third Tranche Investment, SBG has now completed the USD 30.0 billion follow-on investments in OpenAI previously announced. As a result, SBG’s cumulative investment in OpenAI totals USD 64.6 billion, and its ownership interest is approximately 13%. The Third Tranche Investment was funded with the proceeds from the issuance of foreign currency-denominated senior notes announced in “Issuance of Foreign Currency-Denominated Senior Notes” dated September 24, 2026.

Effective September 30, 2026, SBG canceled the remaining USD 10.0 billion of undrawn capacity under the bridge facility agreement entered into on March 27, 2026, with a total facility amount of USD 40.0 billion. Following this cancellation and the early repayment announced in “Early Repayment of Bridge Loans” dated September 9, 2026, all borrowings under the bridge facility agreement have been repaid and no undrawn commitments remain.
