Approval of Recommended Acquisition of ARM at Court Hearing

Further to the announcements titled “ Recommended Acquisition of ARM by SoftBank, ” dated July 18, 2016, “ Publication of Scheme Document for Recommended Acquisition of ARM by SoftBank ” dated August 3, 2016 and “ Approval of Resolution on Recommended Acquisition of ARM at ARM's Court Meeting and General Meeting of Shareholders ” dated August 31, 2016, SoftBank Group Corp. (“SBG”) is pleased to announce that the Scheme of Arrangement in respect of the recommended acquisition of ARM Holdings plc (“ARM”) by SBG received the necessary Court sanction at the Court Hearing convened on September 1, 2016 (GMT).

SBG expects that all the procedures required for the acquisition of ARM by SBG will be completed by September 5, 2016 (GMT).

The indicative timetable of principal events for the implementation of the Scheme is as follows:
