Change in Trade Name of Consolidated Subsidiary
SoftBank Group Corp. (“SBG”) announced today that its subsidiary, Z Holdings Corporation (“Z Holdings”), resolved at its Board of Directors on April 28, 2023 to change its trade name as below, subject to the approval of partial amendments to Z Holdings’ Articles of Incorporation at the ordinary general meeting of shareholders of the company scheduled to be held in June 2023.
1. Background of change in trade name
Z Holdings has announced in its press release “Decision on Merger Policy Among Z Holdings Corporation and Its Wholly Owned Subsidiaries, Mainly LINE Corporation and Yahoo Japan Corporation” dated February 2, 2023 that it has decided on a basic policy of implementing a merger by around the end of the fiscal year ending March 31, 2024, mainly around Z Holdings and its core wholly owned subsidiaries: LINE Corporation and Yahoo Japan Corporation. Based on the said basic policy, Z Holdings resolved today at its Board of Directors the details related to the Z Holdings group reorganization (the “Reorganization”). In relation to the Reorganization, Z Holdings’ Board of Directors also resolved to submit a proposal on the partial amendments to Z Holdings’ Articles of Incorporation to its ordinary general meeting of shareholders scheduled to be held in June 2023 to change its trade name, as of the scheduled completion date of the Reorganization (effective date).
